1. The parties and the purpose of the service
1.1These terms apply between EasyFreelance AB ("EasyFreelance") and the person who joins the service ("you" or "the umbrella employee").
1.2EasyFreelance is an umbrella employment company. The service makes it possible for you to carry out temporary assignments without running your own company. You are normally responsible yourself for finding and proposing assignments and clients.
1.3For assignments that EasyFreelance accepts, EasyFreelance is the contracting party towards the client and invoices the client under EasyFreelance's F-tax registration. EasyFreelance then handles, among other things, invoicing, tax deduction, employer's social security contributions, payroll administration and payment of wages.
1.4Creating an account does not mean that EasyFreelance guarantees you assignments, any particular working hours or any particular income. Every assignment must meet EasyFreelance's requirements and be capable of acceptance by EasyFreelance.
2. Registration and acceptance of assignments
2.1Before you agree an assignment in a way that presupposes that EasyFreelance is to be the contracting party and invoice the client, you must have joined EasyFreelance and registered the assignment under our procedures.
2.2EasyFreelance is entitled to refuse an assignment if it conflicts with law, regulatory requirements, our insurance terms or our internal risk rules, or if we cannot undertake the assignment for another objective reason.
2.3The client must be informed that EasyFreelance is the legal contractor and the party that invoices for the assignment.
2.4EasyFreelance cannot be used retrospectively to invoice an assignment that you have already agreed personally and carried out in your own name, unless EasyFreelance was the contracting party for the assignment beforehand.
2.5The service may not be used to invoice work that you carry out within the scope of other employment with the client.
3. Your responsibility for the assignment
3.1You are responsible for ensuring that the information you provide about the assignment, the client, the price, the scope of the work, hours worked, expenses and other invoicing documentation is complete and correct.
3.2You must carry out the assignment in a professional manner and in accordance with what has been agreed with the client, and comply with applicable laws, safety regulations and instructions at the workplace.
3.3You may not register assignments concerning unlawful activity, activity requiring a licence or authorisation that is lacking, or work that EasyFreelance has stated the service may not be used for.
3.4You must inform EasyFreelance without delay if a client disputes the assignment, the invoice, the quality of the work or the obligation to pay.
4. Employment and management of work
4.1When an assignment has been accepted and is carried out within EasyFreelance's umbrella employment model, the employment relationship or equivalent legal relationship that applies to that assignment arises. Further details of the form, scope and period of the employment appear in the documentation applying to the assignment.
4.2You normally find your own clients and have considerable influence over which assignments you wish to propose. This does not alter EasyFreelance's obligations as an employer where an employment relationship exists.
4.3Within the scope of the assignment, the client may give practical instructions on how, when and where the work is to be carried out. Such instructions may not conflict with law, safety requirements or the terms that apply between EasyFreelance and you.
5. Invoicing
5.1EasyFreelance invoices the client on the basis of the approved assignment and the information provided by you, the client or one of EasyFreelance's partners.
5.2EasyFreelance is entitled to request documentation before an invoice is sent, and to correct or credit an invoice where there are objective grounds for doing so.
5.3If the client disputes the invoice, EasyFreelance may hold further processing while the dispute is investigated. You must cooperate and provide the information needed to assess the client's objections.
6. Wages, taxes and contributions
6.1The amount the client pays for the assignment forms the basis for calculating your remuneration. From that amount, the taxes, employer's social security contributions, insurance costs, any other statutory or agreed costs, and EasyFreelance's fee applying to the assignment are handled.
6.2EasyFreelance's fee is set out in the price information in force from time to time at easyfreelance.se.
6.3Wages are paid according to the pay and payment model applying to the assignment concerned. If the chosen model means payment after the client has paid, payment is made once EasyFreelance has received the payment and has been able to carry out the necessary checks. If EasyFreelance offers a service with advanced payment, the special terms for that service apply.
6.4Wages are paid to the bank account you have registered. You are responsible for the account details being correct. Costs arising from an international payment may be deducted where this has been agreed and is permitted.
6.5EasyFreelance makes tax deductions and reports employer's social security contributions in accordance with applicable rules. You are responsible for the personal and tax details you provide being accurate and up to date.
6.6Calculators and preliminary calculations on the website are indicative. The final pay calculation is based on the actual details of the assignment and the rules and rates applying at the time of the payroll run.
7. Incorrect payments and recovery
7.1If a payment has been made in error, EasyFreelance is to correct the error. If you have received an amount you were not entitled to, EasyFreelance may, to the extent the law permits, request repayment or agree with you how the amount is to be settled.
7.2EasyFreelance is to inform you of the basis for any recovery claim and how the amount has been calculated.
8. Insurance and the working environment
8.1What insurance cover applies depends on the assignment concerned and EasyFreelance's insurance terms in force from time to time. Information about the applicable cover can be obtained from EasyFreelance.
8.2Assignments must be registered in advance where this is required for insurance or other protection to apply.
8.3You must follow working environment and safety procedures at the place where the assignment is carried out, and immediately report accidents, serious near-misses, threats, violence or other serious risks both to the relevant contact person at the workplace and to EasyFreelance.
9. Personal data
9.1EasyFreelance processes personal data in order to administer accounts, assignments, employment, wages, invoicing, client relationships, support, legal obligations and other purposes described in EasyFreelance's privacy policy.
9.2Where personal data needs to be disclosed to the client, public authorities, banks, insurers or suppliers, this is done only where there is a purpose and a legal basis for the processing.
9.3Further information about the processing and about your rights is available on the page "GDPR and data protection".
10. Misuse, suspension and termination
10.1You may stop using the service and request that the account be closed at any time, subject to ongoing assignments, payments and information that EasyFreelance must retain by law.
10.2EasyFreelance may restrict or suspend an account where there are reasonable grounds to suspect fraud, incorrect information, breach of these terms, money laundering, sanctions risk, misuse of the service or other activity that may give rise to legal or financial risk.
10.3A suspension does not affect wages already earned or other rights following from mandatory law.
11. Responsibility for client disputes
11.1You must cooperate in resolving complaints and disputes concerning how the assignment has been carried out. EasyFreelance is entitled to investigate the client's objections and to take the contractual measures that are reasonable in relation to the client.
11.2You are liable for damage that you cause EasyFreelance intentionally or through gross negligence by providing incorrect information, using the service impermissibly or otherwise materially breaching the agreement, to the extent such liability is compatible with mandatory law.
11.3Nothing in these terms limits rights or obligations following from mandatory Swedish employment law or other mandatory law.
12. Changes to the terms
12.1EasyFreelance may change these terms where this is necessary because of changes in law, regulatory requirements, changes to the service or other objective reasons.
12.2Material changes are notified within a reasonable time before they take effect. Changes do not affect rights already earned or ongoing assignments contrary to mandatory law.
13. Swedish law and disputes
13.1The terms are to be interpreted under Swedish law.
13.2Disputes are in the first instance to be resolved through dialogue. Rules on forum and dispute resolution that follow from mandatory law always take precedence over these terms. If you have questions about the terms or about how an assignment is to be registered, contact EasyFreelance before you accept the assignment.
If you have questions about the agreement, contact us before you sign. We are happy to go through the clauses with you.
